Contracts that protect the deal you actually made
A contract is only as good as its worst clause. Itkin Law drafts and negotiates commercial agreements for California businesses that are precise where it matters, readable where it counts, and enforceable when tested. Whether you are papering a routine vendor relationship or a bet-the-company transaction, we treat every agreement as the litigation exhibit it might one day become.
We work on both sides of the table: building your standard forms so every deal starts from strength, and rigorously reviewing the other side's draft before you sign.
What we do
- Master service agreements (MSAs), statements of work, and vendor contracts
- Non-disclosure and confidentiality agreements (NDAs)
- Partnership, operating, and shareholder agreements
- Employment, contractor, and consulting agreements
- Licensing, distribution, and supply agreements
- Commercial leases and real estate–adjacent agreements
- Settlement agreements and releases
- Contract audits of your existing templates and forms
How we work
We start by understanding the business objective — not just the document. Then we draft or mark up with a clear redline philosophy: minimal, surgical changes that move your position without blowing up the deal. You get plain-English explanations of every material risk, so the decision is always yours and always informed.
Common questions
How much does contract review cost?
It depends on the length and complexity of the agreement. After a free consultation we quote flat fees for most contract review and drafting work, so you know the cost before we start.
Can you review a contract I already signed?
Yes. We regularly review executed agreements to map your obligations, exposure, and exit options — especially before a dispute or renegotiation.
Do you take on contract disputes as well?
Yes. Because we also litigate, we draft with the courtroom in mind and can enforce or defend the same agreements if a dispute arises.
